Press Releases 2008-12-17 Novabase creates new company in Germany and acquires set top box licensing and Chip-on-Board business from TechnoTrend, GmbH Novabase SGPS has acquired the Set Top Box Licensing business and the new Chip-on-Board business from its affiliate TechnoTrend, GmbH for approximately 5.5 MEuros.Under the terms and for the purposes of the provisions of article 248 of the Portuguese Securities Code (Código dos Valores Mobiliários), it is hereby announced that Novabase SGPS has acquired the Set Top Box Licensing business and the new Chip-on-Board business from its affiliate TechnoTrend,
GmbH for approximately 5.5 M€.
These businesses have been placed under a new Munich-based German company created for this purpose named Novabase Digital TV Technologies, GmbH.
As part of this business, the new company, fully owned by Novabase, will have an R&D team comprised of nine people transferring from TechnoTrend, GmbH.
As a result of the changes arising from this acquisition, Novabase SGPS will now treat TechnoTrend GmbH as a financial stake of (39.5%) ceasing full consolidation of the company.
This business follows another previously disclosed to the market on 27 October 2008, involving the acquisition of stakes in Portuguese Digital TV companies that were not previously held by Novabase.
With these two acquisitions, Novabase will now control 100% of the businesses of OCTAL TV, ONTV TV and the newly-created Novabase Digital TV Technologies, GmbH.
In view of these changes to the Novabase SGPS consolidation perimeter, together with the lower than expected performance of TechnoTrend, GmbH, Novabase SGPS has decided to revise its 2008 consolidated guidance, previously disclosed to the market, as follows:
- Turnover exceeding 260 M€
- EBITDA margin between 19 MF and 21 M€
This acquisition is yet another step in restructuring our Digital TV business, as Novabase now controls 100% of the assets needed to carry out its vision in this area and has reduced its risk exposure to TechnoTrend. It is estimated that, after this operation, this exposure does not exceed 2 M€.
